LLPs, Partnerships and Hedge Funds

Disputes between LLP members and partners in a traditional partnership occur far more regularly than one might believe. Unlike many law firms, we advise individuals as partners or members of an LLP as well as the traditional partnership or LLP . We believe this gives us valuable insights into how best to resolve disputes.

Our involvement is often below the radar as our clients would not welcome their interests or their affairs being aired in public. We are also experienced in the areas of resolving disputes by mediation or if appropriate by arbitration .

Our specialist lawyers are well versed in the issues affecting partnerships and LLPs and we only offer our clients commercially focussed pragmatic advice on a range of matters including the drafting and interpretation of LLP and Partnership Agreements; restructurings; compulsory retirement rights and procedures; rights upon retirement generally; discrimination issues; bonus disputes; and team moves.

We advise financial institutions and funds on significant matters such as partnership based remuneration and incentive structures. Against the recent changes in legislation, we also advise on issues affecting the status of fixed share members. A further area involves advice to hedge funds or individual managers over carried interest and co-investment rights.
